Included-Usage Terms

These Included-Usage Terms ("Usage Terms") supplement the Terms of Service between Orion AI Solutions Inc., a Delaware corporation located at 2810 N Church St #607813, Wilmington, DE 19802 ("Orion," "we," "us," or "our"), and the person or entity responsible for the account ("you"). They govern how plan-included usage, overage, trials, and account migration are billed. If these Usage Terms conflict with the Terms of Service on a usage-billing subject, these Usage Terms control for that subject.

1. Plans and included usage

Each Orion AI plan includes a monthly allowance of usage: AI voice call attempts, text message segments, manual (human-dialed) call attempts, and emails. The allowances for each plan are stated on the plan selection page at the time you subscribe and in your billing settings at all times. Allowances reset at the start of each billing period. Unused allowance does not roll over, has no cash value, and is not refundable.

A text message that exceeds the standard single-segment length counts as more than one segment. A multimedia (MMS) message counts against the text segment allowance at the segment-equivalent rate shown in your billing settings.

Each plan also includes the stated number of phone numbers at no additional charge. Numbers beyond the included count bill at the published per-number monthly rate. A2P brand and campaign registration is included with every plan.

2. Overage

Overage is optional and is off by default. When overage is off and you reach the full allowance for a usage type, sending or calling of that type pauses until your allowance resets, you upgrade, or you turn overage on. We surface warnings in the app before and when a limit is reached.

When you turn overage on, you authorize Orion to charge usage beyond your included allowance against your overage balance at the per-unit rates published in your billing settings at the time of use. Overage rates may change on a going-forward basis with notice as described in the Terms of Service.

The minimum amount you can add to your overage balance is $25. If automatic recharge is enabled, the minimum automatic recharge amount is also $25. Overage balances are non-refundable, non-transferable, and have no cash value. If your overage balance cannot cover a charge, the usage that exceeded your allowance may be recorded and collected from your next balance addition, and further overage use may pause until the balance is funded.

You can turn overage on or off at any time in your billing settings. Turning overage off does not refund the remaining balance; the balance remains available for future overage use.

3. Migrated accounts

If your account moved to a plan with included usage from an earlier Orion pricing model, any prepaid wallet credits existing at migration remain on your account and are consumed first when overage charges occur, before your overage balance or payment method is used. Wallet credits remain non-refundable, non-transferable, and without cash value. Per-number monthly fees for phone numbers beyond your plan's included count continue to bill as before.

4. Free trial

4.1 Eligibility and length

One free trial per customer. A "customer" means a unique combination of email address, payment method, and business entity. The free trial lasts 14 days, beginning when you complete signup. Repeat trials may be denied at our discretion.

4.2 The $20 registration charge and first-month credit

A valid credit or debit card is required at signup. At signup you authorize a one-time charge of $20 to begin A2P registration for your account. That $20 is credited in full against your first month's subscription charge when your paid subscription begins. If you cancel before the trial ends, the $20 covers the A2P registration performed for your account and is non-refundable.

4.3 What the trial includes

The trial includes the trial allowance of usage stated at signup. The trial does not include overage; when a trial allowance is exhausted, that usage type pauses until conversion. You may turn the overage setting on during the trial, but it takes effect only when your paid subscription begins.

4.4 Auto-conversion and notice

If you do not cancel before the end of the trial, you authorize Orion AI Solutions to charge the payment method on file the plan rate you selected at signup, less the $20 credit described in section 4.2, and to continue charging that plan rate at the recurring interval until you cancel. We will email you approximately 3 days before your trial ends to remind you of the upcoming charge. Delivery of that notice is best-effort; failure to receive it does not waive this authorization.

4.5 Cancellation, reactivation, and data

You can cancel your trial or subscription at any time in the app: open Settings, then Billing, then Manage Subscription, then Cancel subscription. Cancellation of a paid subscription takes effect at the end of your current billing period, and you keep access until then. After cancellation takes effect, you may reactivate your account yourself within 30 days from Settings, then Billing. After those 30 days, your account data is scheduled for deletion under our standard 30-day retention policy, and reactivation requires creating a new account. A reactivated or newly created account does not receive a new free trial.

5. Enterprise accounts

Enterprise accounts are billed per seat under their agreement with Orion. Seat allowances, overage handling, and rates for enterprise accounts are set out in the applicable enterprise agreement, which controls over these Usage Terms where they conflict.

6. Changes

We may update these Usage Terms on a going-forward basis as described in the Terms of Service. The version you accepted, and each later version presented to you, is retained as a receipt on your account.
